Advisory-led M&A guidance for accounting firm owners

Your accounting practice is more than a transaction.

RWM M&A Advisors helps accounting firm owners think clearly about selling, merging, acquiring, or planning succession, and guides the whole process when you decide to act. We are firm owners ourselves, so we start as advisors, paid for our judgment rather than for pushing a deal.

Built by operators, not brokers

We have sat in your chair.

RWM has lived the acquisition and integration process. We are firm owners: we grew our own CPA firm more than tenfold through acquisitions, integration, advisory growth, and client service. We have made payroll, retained clients, and handled the Monday morning after a deal closes.

That is why we advise you the way we would want to be advised. The goal is not to get a deal signed. It is to help you make the right decision, and create a transition that works in real life.

Why this matters

Your firm may be your largest asset, but it is also your life's work.

For many accounting firm owners, the practice is worth as much as their home, or more. But unlike a house, it carries decades of relationships, a team that helped build it, clients who trust it, and a reputation that cannot be replaced.

Decisions this important deserve an advisor whose only job is to help you get them right.

How we help

Whatever you are weighing, start with clear advice.

Most owners come to us with a decision on their mind: an offer on the table, a retirement in view, or a quiet question about what the firm is really worth. We help you sort it out, then guide the process if you choose to act.

Understand Your Options

Sell, merge, hold, recapitalize, or transition internally. Compare the paths and buyer types with someone who has seen them from the inside.

Protecting legacies

A better process for an emotional decision.

Your business is your baby. You have likely carried it through hard seasons, protected your employees, served clients through personal and business challenges, and built trust one relationship at a time.

Our role is to help you protect that value while making the process clear, fair, and as painless as possible for everyone involved.

Will my clients be cared for?

Will my employees have opportunities?

Will the buyer honor what I built?

Will the deal be fair?

Will my legacy continue?

How we work

Advice first. Representation only if you want it.

Most owners do not need a broker on day one. They need a clear-eyed advisor to help them understand their options, their value, and their timing. We start there, with fixed-fee or retainer advisory engagements. If and when you decide to sell, merge, or acquire, optional full representation is available and quoted per engagement, and the advisory fees you have already paid are credited toward it, so starting with advice never costs you more.

Use the Accounting Firm Valuation Tool to estimate a preliminary value range, identify transition risks, and receive a complete report preview after entering your email, phone number, and website.

A final number also depends on how the deal is structured. Cash at close, seller financing, earnouts, and rolled equity all move the range. The goal is a structure that works for both buyer and seller.

Built for accounting firm owners

The tool looks beyond revenue and earnings. It considers recurring revenue, advisory mix, pricing discipline, client concentration, owner dependence, staff depth, and operational maturity.

Practical, confidential, and intentionally low-volume.

We learn your goals, timeline, concerns, and ideal outcome before recommending a path.

02

Advice and Positioning

We help you weigh your options, and prepare the buyer or seller story when a transaction is the right move.

03

Curated Outreach

04

Transition Support

We help both sides move through structure, diligence, closing coordination, and transition planning.

Straightforward about how we work

Advisors first, and clear about our role.

Most of the time, we are simply your advisor. If we ever might also represent a buyer, or be a potential buyer ourselves, we tell you in writing, up front. You decide how we serve you, we never quietly sit on both sides of a deal, and objective advice is always available.

How we handle it

Common questions

Questions accounting firm owners ask us.

Do I need to be ready to sell to work with you?

No. Most owners start with advice. We help you understand your options, your value, and your timing first, with no pressure to transact. Full representation is available later, if and when you decide to act.

How is RWM M&A Advisors paid?

Advisory engagements are fixed-fee or retainer, so you know the cost up front. If you later choose full transaction representation, it is quoted per engagement and generally payable on a successful outcome, and your advisory fees are typically credited toward it.

Will my staff and clients be protected in a sale?

Protecting your team, clients, and legacy is central to how we work. We focus on buyer fit and a real transition plan, not just the highest headline price.

What is a second bite of the apple?

When you roll some equity into the buyer or platform instead of taking all cash, you keep an ownership stake that can pay out again later if the larger firm grows and recapitalizes or sells. We help you weigh whether that fits your goals.

How do I know which buyer or platform is right for me?

We understand how the buyers and platforms in this market operate, from private equity roll-ups to patient-capital platforms to regional firms, so we can help you read each offer and choose the right fit for your people and clients.

No pressure

Not sure if now is the right time? Let's talk anyway.

Most first conversations do not lead to an engagement, and that is exactly how it should be. Tell us where you are, and we will give you a straight answer about whether we can help, even if the answer is not yet.
